Terms of Service

By creating an account or using the ColdState Services API ("Service"), you agree to these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

ColdState Services provides a deterministic semantic search API. You can create indexes, upload documents, and execute search queries through our REST API. The Service is provided on a subscription basis across multiple pricing tiers.

• You must provide a valid email address and accurate information.
• You are responsible for maintaining the security of your account credentials and API keys.
• You must notify us immediately at [email protected] if you suspect unauthorized access.
• One person or entity may not maintain multiple free-tier accounts.

• API keys are confidential. Do not share, publish, or embed them in client-side code.
• You are responsible for all activity that occurs under your API keys.
• We may revoke API keys that are compromised or used in violation of these Terms.

You agree not to:

• Use the Service for any unlawful purpose
• Upload content that infringes on intellectual property rights
• Upload content that is illegal, harmful, threatening, abusive, or defamatory
• Attempt to circumvent rate limits, usage quotas, or security measures
• Reverse-engineer, decompile, or disassemble any part of the Service
• Resell or redistribute the Service without written authorization
• Use automated systems to create accounts or generate fraudulent usage
• Interfere with the Service's infrastructure or other users' access

• The Service offers Free, Starter, Growth, Pro, and Enterprise tiers as described on the Pricing page.
• Paid subscriptions are billed monthly via Stripe. All fees are in US dollars.
• We may change pricing with 30 days' notice. Price changes do not apply to the current billing period.
• The Free tier is provided at our discretion and may be modified or discontinued with reasonable notice.

• You may cancel your subscription at any time from the Billing page.
• Upon cancellation, you retain access to your current tier until the end of your billing period. No prorated refunds are issued for partial months.
• If you are unsatisfied with the Service within the first 14 days of a new paid subscription, contact [email protected] to request a full refund.
• After the 14-day period, refunds are issued at our sole discretion for documented service failures.

• You retain all rights to the documents and data you upload to the Service.
• You grant ColdState a limited license to process, index, and store your content solely to provide the Service.
• We do not access, review, or use your content for any purpose other than providing the Service.
• We do not use your content to train models or improve algorithms.
• You are solely responsible for ensuring you have the right to upload content and that it complies with applicable laws.

• We target 99.9% uptime but do not guarantee uninterrupted availability. The Service is provided "as is."
• We may perform maintenance with reasonable advance notice when possible. Emergency maintenance may occur without notice.
• We reserve the right to modify, suspend, or discontinue any part of the Service with 30 days' notice, except in cases of abuse or legal obligation.

Each tier has specific rate limits (requests per minute, burst limits per second) and monthly query quotas. Exceeding these limits will result in HTTP 429 responses. Persistent or intentional abuse of rate limits may result in account suspension.

To the maximum extent permitted by law, ColdState Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising from your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

You agree to indemnify and hold harmless ColdState Inc., its officers, employees, and agents from any claims, damages, or expenses arising from: (a) your use of the Service, (b) your content, (c) your violation of these Terms, or (d) your violation of any third-party rights.

• You may delete your account at any time.
• We may suspend or terminate your account for violation of these Terms, with notice when practical.
• Upon termination, your indexes and documents will be deleted within 24 hours. This action is irreversible.

These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict-of-law provisions. Any disputes shall be resolved in the state or federal courts located in Ohio.

We may revise these Terms at any time. Material changes will be communicated via email or dashboard notice at least 30 days before taking effect. Continued use after the effective date constitutes acceptance of the revised Terms.
